MatrixedLink Validator Policy

1. Acceptance of This Policy

By staking your digital assets (“Assets”) through anyvalidator operated or managed by MatrixedLink (“MatrixedLink,” “we,” “us,” or“our”), or otherwise using our validator services (collectively, the“Services”), you (“User,” “you,” or “your”) agree to be bound by this ValidatorPolicy (“Policy”), as well as our Terms & Conditions and Privacy Policy, which areincorporated herein by reference. If you do not agree to all the terms of thisPolicy, you must not use our Services.

2. Description of Services

  1. Validator     Operations: MatrixedLink operates validators on one or more blockchain     networks. By delegating or staking your Assets to these validators, you     help secure the network and may earn rewards.
  2. Staking     Rewards: Depending on the network, stakers typically receive rewards     (such as newly minted tokens and/or transaction fees) and may also bear     the risk of penalties (sometimes known as “slashing”) if certain protocol     requirements are not met.
  3. Non-Custodial     Approach: Unless explicitly stated, MatrixedLink does not take custody     of your Assets. Your delegation or staking of Assets is facilitated by     protocols and/or third-party wallet providers, and you retain control over     your Assets except where network protocols dictate otherwise.

3. Eligibility

  1. Legal     Capacity: You must be at least 18 years old (or the age of majority in     your jurisdiction) and legally capable of entering into binding contracts     to use our Services.
  2. Compliance     With Laws: You must comply with all applicable laws, regulations and     legal obligations in your jurisdiction relating to the Services and the     use of digital assets.

4. User Obligations and Responsibilities

  1. Accuracy     of Information: You agree to provide complete, accurate and current     information when creating an account or interacting with our Services.
  2. Security     Practices: You are responsible for maintaining the security of your     private keys, wallets and other credentials. MatrixedLink is not liable     for unauthorized access to your Assets resulting from your failure to     secure your devices or accounts.
  3. Risk     Assessment: You acknowledge and accept the risks inherent in staking,     which may include the loss or locking up of staked Assets, slashing     events, network instability and software vulnerabilities.

5. Fees and Payment

  1. Validator     Commission or Fees: MatrixedLink may charge a commission or fee on any     rewards earned through our validator(s). The exact rate or fee structure     will be disclosed on our website or within the relevant network’s staking     interface.
  2. Modifications:     We reserve the right to adjust our fees at any time. Any changes will be     communicated through our official channels and/or posted on our website.     Your continued use of our Services after a fee change constitutes     acceptance of the new fee.

6. Slashing and Penalties

  1. Protocol     Penalties: In proof-of-stake networks, validators or their delegators     may face slashing or penalties for double-signing, downtime or other     protocol violations.
  2. No     Guarantees: While MatrixedLink uses its best efforts to maintain high     availability and adhere to protocol rules, we cannot guarantee that our     validators will never be penalized. You acknowledge that slashing risks     are inherent to staking and accept any resulting losses or penalties.
  3. Limited     Liability: MatrixedLink shall not be held liable for any slashing     penalties or other network-imposed sanctions beyond our reasonable     control. By delegating or staking your Assets with our validator(s), you     assume the risk of such penalties.

7. Intellectual Property

  1. Ownership:     Any content, trademarks, service marks or logos displayed on our website     or through our Services are owned by or licensed to MatrixedLink. You are     granted no license or right to use them without our prior written consent.
  2. Prohibited     Use: You must not copy, reproduce, distribute, modify or create     derivative works of our intellectual property without explicit permission.

8. Disclaimer of Warranties

  1. Services     Provided “As Is”: Our validator operations and related Services are     provided on an “AS IS” and “AS AVAILABLE” basis without any representation     or warranty of any kind.
  2. No     Guarantee of Rewards: Any staking rewards or yields mentioned are     estimates only and may vary due to network conditions, validator     performance or other factors. We make no promise or guarantee regarding     the availability, continuity or amount of such rewards.
  3. Security     & Performance: Although we strive to maintain a reliable and     secure service, we cannot guarantee that our validators will be error-free     or immune to system failures, hacking attempts or protocol exploits.

9. Limitation of Liability

  1. Exclusion     of Damages: To the fullest extent permitted by law, in no event shall     MatrixedLink or its affiliates be liable for any direct, indirect,     incidental, special, consequential or exemplary damages, including but not     limited to lost profits, loss or theft of digital assets, cost of     procurement of substitute goods or services or any other intangible losses     arising out of or relating to your use of our Services.
  2. Maximum     Liability: In jurisdictions that do not allow the exclusion or     limitation of liability, our liability shall be limited to the greatest     extent permitted by law. In any event, our maximum liability for any claim     relating to the Services shall not exceed the total fees paid to us by you     for the specific staking period in question.

10. Indemnification

You agree to indemnify and hold MatrixedLink, its directors,officers, employees, affiliates, agents and licensors harmless from any claims,damages, liabilities, losses, costs or expenses (including reasonableattorneys’ fees) arising out of or related to:

  1. Your     violation of any term of this Policy.
  2. Your     improper use of the Services.
  3. Your     violation of any applicable law, regulation or third-party rights.

11. Termination

  1. Right     to Terminate: We reserve the right, at our sole discretion, to     terminate or suspend your access to the Services at any time, without     notice, if we believe you have violated any term of this Policy or     otherwise engaged in illegal or harmful activity.
  2. User’s     Right to Withdraw: You may withdraw or undelegate your staked Assets     at any time, subject to the relevant blockchain network’s protocols and     unbonding or lock-up periods. MatrixedLink is not responsible for any     delays, fees or losses incurred due to withdrawal processes imposed by the     blockchain network.

12. Modifications to the Policy

We may update or modify this Policy from time to time at ourdiscretion. If we make material changes, we will notify you by posting anannouncement on our website or sending an email. Your continued use of theServices following the posting of any changes constitutes your acceptance ofsuch changes.

13. Governing Law and Dispute Resolution

  1. Governing     Law: This Policy and any dispute arising out of or relating to it     shall be governed by and construed in accordance with the laws of The     Netherlands, without regard to conflict of law principles.
  2. Dispute     Resolution: Any dispute, controversy or claim arising out of or in     connection with this Policy, including its existence, validity or     termination, shall be settled first through friendly negotiations. If the     dispute cannot be resolved amicably, it shall be referred to the exclusive     jurisdiction of the competent courts of Rotterdam.
